DAV of MN Foundation Board of Directors Application
Mission: Act as the charitable “giving arm” of the DAV MN providing financial resources for projects and programs directly supporting veterans and their families throughout Minnesota
Responsibilities of the Board
As the leadership body of the Foundation and to satisfy its fiduciary duties, the board is responsible for:
- determining the mission and purposes of the Foundation
- strategic and organizational planning
- ensuring strong fiduciary oversight and financial management
- fundraising and resource development
- enhancing the Foundation’s public image
Responsibilities of Individual Board Members
Each individual board member is expected to:
- know the Foundation’s mission, policies, programs, and needs
- prepare for, attend, and conscientiously participate in board meetings
- participate in Foundation Events
- read and understand the organization’s financial statements
- serve as an active advocate and ambassador for the Foundation and fully engage in identifying the financial resources and partnerships necessary for the organization to advance its mission
- respond to emails in a timely manner
- follow the organization’s bylaws and policies
- sign an annual conflict-of-interest disclosure, as well as disclose potential conflicts before meetings and actual conflicts during meetings
- maintain confidentiality about all internal matters of the Foundation
The affairs of the Foundation will be managed by its Board of Directors. The Board shall consist of seven (7) Directors. To serve as a director, one must be a current DAV of MN member. Each Director shall hold office for a term of three (3) years. Each year, the Board of Directors shall make a recommendation for the expiring Director(s) replacement/reappointment with the approval of the Department Executive Committee, so long as that appointee is a member in good standing of the Disabled American Veterans Department of Minnesota.
